Overview

Candidates must have:

– Qualifications: CPA, CFA, CA, or equivalent with 3+ years of experience in financial due diligence, M&A advisory, or transaction support.

– Skills: Advanced proficiency in financial analysis, Databook preparation, financial Modeling, and QoE assessments.

– Experience: Prior experience with Big 4 or other consulting firms in transaction advisory or due diligence is highly preferred.

Key Responsibilities:

1. Financial Due Diligence

– Conduct detailed Quality of Earnings (QoE) Analysis to assess the reliability and sustainability of earnings, providing clarity on EBITDA and normalized EBITDA adjustments.

– Perform comprehensive Working Capital Analysis, including in-depth evaluation of DSO, DPO, and DIO metrics to prepare a normalized working capital assessment.

– Analyse the balance sheet, focusing on liquidity, AR/AP aging, and cash flow assessments to ensure alignment with the financial health of the target.

2. Mergers and Acquisitions (M&A) Advisory

– Provide Pre-Deal Advisory support by identifying and screening acquisition targets that align with client strategic objectives.

– Conduct Valuation and Pricing Analysis for potential targets, incorporating financial performance and market conditions to develop a valuation model.

– Assess Synergy Opportunities and conduct scenario analysis, emphasizing operational, financial, and technological integration points.

3. Deal Structuring and Transaction Management

– Advise on deal structuring and tax planning strategies to ensure maximum transaction efficiency and alignment with client goals.

– Transaction Management: Oversee transaction timelines, milestones, and client communications, ensuring smooth and timely deal progression.

4. Databook Preparation and Reporting

– Prepare comprehensive Databook to support due diligence, incorporating critical financial data and ensuring accuracy, consistency, and compliance with best practices.

– Lead the preparation of Due Diligence Reports, presenting findings on QoE, working capital, balance sheet health, and risk exposure.
