About the Role:
We are seeking a qualified MBA professional with 3+ years of hands-on experience in Financial Due Diligence (FDD) to join our high-performing M&A Advisory / Transaction Services team in Bangalore.
As an Assistant Manager / Senior, you will play a pivotal role in leading due diligence engagements, supporting private equity investors, investment banks, and corporates on strategic M&A transactions.
You will work at the intersection of finance, strategy, and deal execution, providing data-driven insights that influence multi-million-dollar investment decisions.
Key Responsibilities:
Deal Execution & Due Diligence:
– Lead and manage end-to-end financial due diligence engagements for both buy-side and sell-side mandates.
– Analyze historical and projected financial performance, including revenue quality, EBITDA sustainability, working capital, and debt/cash positions.
– Identify key transaction issues, business risks, and deal breakers, delivering clear findings and value-creation opportunities.
– Support in SPA (Share Purchase Agreement) negotiations by preparing financial inputs and deal adjustments.
Client Engagement & Relationship Management:
– Work closely with C-suite executives, private equity partners, and investment bankers to understand transaction objectives.
– Build and maintain long-term client relationships, positioning yourself as a trusted advisor in deal execution.
– Prepare and deliver insightful client presentations, reports, and recommendations for critical investment decisions.
Team Leadership & Project Management:
– Mentor and guide junior team members, ensuring high-quality deliverables under tight timelines.
– Manage multiple workstreams and coordinate across tax, legal, operations, and valuation teams for integrated deal execution.
– Drive internal initiatives for process improvement, knowledge sharing, and business growth.
Eligibility & Qualifications:
– MBA (Finance) / Chartered Accountant (CA) / CFA or equivalent professional qualification.
– 3+ years of relevant experience in Financial Due Diligence, Transaction Services, or M&A Advisory (preferably with Big 4, consulting firms, or investment banking).
Strong expertise in:
– Financial statement analysis & interpretation
– Transaction structuring and SPA mechanisms
– Valuation fundamentals & deal economics
– Industry benchmarking and market research
– Exceptional skills in Excel, PowerPoint, and financial modeling.
– Excellent communication, presentation, and stakeholder management abilities.
