Overview
Vice President Finance M&A
We are seeking a dynamic and experienced Vice President Finance M&A to lead strategic corporate initiatives, including mergers, acquisitions, joint ventures, and other complex transactions. As a senior member of the leadership team, you will play a pivotal role in advising on strategy, executing deals, and ensuring successful integration, while also ensuring compliance with financial and tax regulations.
Key Responsibilities
Due Diligence & Transaction Support
– Serve as the lead finance, tax, and assurance advisor on major transactions – M&A, JVs, investments, and partnerships.
– Manage the full lifecycle of M&A transactions: due diligence, deal structuring, negotiation, and integration.
– Review financial, direct and indirect tax diligence reports; extract key recommendations and incorporate them into definitive agreements.
– Liaise with internal teams and external advisors to ensure efficient data sharing and smooth transaction execution.
– Identify transaction-related risks and develop effective mitigation strategies.
Acquisitions
– Lead and conclude financial and tax due diligence for acquisitions in coordination with Big Four advisory firms.
– Drive compliance with assurance standards, IND AS, and tax regulations.
– Design and implement tax-efficient transaction structures.
Investments into the Company
– Manage data room setup and act as the primary point of contact for investors and their advisors.
– Coordinate with internal/external stakeholders to expedite due diligence and investment closure.
Legal & Documentation Support
– Draft, review, and negotiate NDAs, Share Purchase Agreements, Shareholders’ Agreements, Subscription Agreements, and Escrow Agreements particularly on tax, commercial, and structural aspects.
– Provide input on data privacy and regulatory compliance matters related to transactions.
Cross-Functional Engagement
– Work closely with internal functions (legal, tax, finance, etc.) to ensure alignment and readiness throughout the transaction process.
– Support ad-hoc strategic projects as assigned by senior leadership.
Qualifications
– Chartered Accountant with 12+ years of experience, preferably with a Big Four firm or in an in-house M&A/tax/finance leadership role.
– Proven track record in executing M&A and joint venture transactions.
– Deep knowledge of Indian and international tax laws, M&A regulations, and accounting standards (including IND AS).
– Strong negotiation, stakeholder management, and project execution skills.
